Your corporate records
shouldn't live in
a Google Drive folder.a lawyer's inbox.an email thread.a Word template.someone's Dropbox.
Corpbook replaces scattered spreadsheets, Word templates, and email threads with one audit-ready system of record for Canadian corporations and SMEs.
Run your minute book, add people to your registers, issue shares, track your cap table, and keep your Transparency/ISC register up to date in one place.
Generate AGM agendas, meeting minutes, and consent resolutions in minutes, send notices and reminders on schedule, and automatically log every action against a permissioned audit trail.
Not legal advice
Most Canadian companies don't have one corporate record. They have seven.
A spreadsheet of shareholders. A folder of PDFs. A few Word templates. Old emails with signed resolutions. A cap table file someone last touched two years ago. A lawyer's portal nobody can log in to. And a transparency register that's either missing or out of date.
When the bank, the accountant, or an acquirer asks for records during a financing, the next two weeks vanish into record reconstruction that could threaten a time sensitive deal.
Built around the records you're actually required to keep.
The statutory registers, resolutions, and minute book your governing Act expects — structured, permissioned, and audit-ready.
Minute book
Articles, bylaws, resolutions, meeting minutes, and consents — versioned, searchable, and linked to the people and decisions they affect.
Learn more →Director, officer & shareholder registers
Structured statutory records, not spreadsheets. Residency status, appointment dates, share class holdings, and historical ownership in one place.
Transparency / ISC register
Identify significant individuals from your shareholder data, send secure questionnaires, and keep the register in the form BC, federal, and Ontario rules require.
Learn more →Central securities register
Every issuance, transfer, and cancellation recorded against your governing statute, with consideration and certificate numbers captured at the time of transaction.
Resolutions & meeting records
Director and shareholder resolutions, notices of meeting, and minutes — linked to the registers they affect so your minute book stays internally consistent.
Permissioned access & audit trail
Invite directors, officers, advisors, and auditors with scoped permissions. Every view, edit, and download is logged in append-only storage.
Built for Canadian private companies — CBCA, BCBCA, and OBCA.
Corpbook validates the fields each governing statute requires before you save. Transparency Register for BC. ISC register for federal CBCA corporations. Beneficial ownership records for Ontario. Director residency thresholds tracked against the jurisdiction your company is incorporated in.
Designed for agentic workflows from day one.
Every record in Corpbook is API-accessible, versioned, and audited — with scoped permissions you can grant to a human or to an agent acting on your behalf. Records cannot be permanently deleted by automated access credentials, so you can delegate routine tasks to your agents to act on your behalf without fear of data loss. Your finance agent can update the cap table after a financing close. Your compliance agent can note a stale transparency entry and send a secure questionnaire to the stakeholder. Your assistant can prepare the resolution pack for next week's board meeting. Each action runs against the same statutory rules, the same validation, and the same append-only audit log a human user would.
Corporate records were always going to become the substrate agents act on. Corpbook's architecture has been built around the agent permissions model at the core, not tacked on after the fact.
How Corpbook compares to what you're using now.
No single tool today gives Canadian private companies a complete, structured corporate record. Most don't try.
| Capability | Spreadsheets & shared drives | Law-firm minute book service | Board portals | US cap-table tools | Corpbook |
|---|---|---|---|---|---|
| Statutory registers as structured data | |||||
| Transparency / ISC workflow | |||||

Corpbook covers all seven. Spreadsheets, law-firm services, board portals, and US cap-table tools cover two or fewer.
For accountants, bookkeepers, and small law firms.
Maintain client corporate records without chasing PDFs through email. Invite each client into their own workspace, keep registers current as transactions happen, and produce records in the form a bank, regulator, or acquirer expects.
The records are the product.
Encrypted in transit (TLS) and at the storage layer on every record. Append-only audit logs. Least-privilege access scoped to corporate roles. MFA on every account. Corpbook is not legal advice — it's the system of record your lawyer, accountant, and board want you to be using.
Your corporate records stay in Canada.
Corpbook is a Canadian company, and the infrastructure that stores your registers, minute book, and documents is hosted in Canada — not in the United States or any other foreign jurisdiction. Your records are governed by Canadian law and stay outside the reach of foreign data-access regimes like the U.S. CLOUD Act, which can compel American providers to hand over data wherever in the world it is stored.
For a private company, that's the difference between records a foreign authority or litigant can reach through a U.S. vendor and records that can't quietly be pulled for corporate espionage or cross-border legal pressure.

Frequently asked questions
- Are AI features mandatory?
- No. The AI features on our roadmap — resolution drafting, meeting minutes, and the AI-powered compliance checker — will be optional and off by default when they ship. Corpbook works fully without them today.
- What is the difference between the basic and AI-powered compliance checkers?
- The basic compliance checker (included in Ascent) runs rule-based checks against your register data — verifying director residency ratios, detecting ISC threshold breaches, and flagging missing required entries. The AI-powered checker (Summit and above, on the roadmap) will read your minute book and identify substantive gaps, such as share structure changes that lack an authorizing resolution.
- Do you sell my company's data?
- Never. Your corporate data will not be sold or shared with third parties, including on free plans. Our business model is providing value to you, not monetizing your data.
- Is my data secure?
- All data is encrypted in transit (TLS) and at the storage layer, with row-level access controls and a full audit trail on every access.
- Where is my corporate records data stored?
- In Canada. Corpbook is a Canadian company, and the infrastructure that stores your registers, minute book, and documents is hosted in Canada — not in the United States or other foreign jurisdictions. Your records are governed by Canadian law and stay outside the reach of foreign data-access regimes like the U.S. CLOUD Act.
- What jurisdictions are supported?
- BC (BCBCA), Ontario (OBCA), and Federal (CBCA) are fully supported. Corpbook is purpose-built for BC's Transparency Register requirements — and is being built for the public-filing changes coming under BC's 2023 amendments.
- Does Corpbook provide legal advice?
- No. Corpbook is a record-keeping and compliance tool, not a law firm. Nothing in Corpbook constitutes legal advice. Consult a qualified corporate lawyer for advice specific to your situation.
